Corporate Associate Attorney – M&A, Private Equity & Securities
Location: Los Angeles, CA

Direct Counsel is seeking a Corporate Associate with 3-4 years of experience to join a highly regarded law firm in Los Angeles. This role offers the opportunity to work on sophisticated corporate transactions in a collaborative and entrepreneurial environment.

Key Responsibilities:

• Advise clients on federal securities laws, rules, and regulations .
• Handle private equity transactions, mergers and acquisitions, and joint ventures .
• Assist with investment fund formations , drafting LLC and LP agreements, and related documentation.
• Provide counsel on corporate governance, regulatory compliance, and general corporate matters .
• Work closely with venture capital, growth equity, and private equity firms .

Qualifications:

• 3-4 years of corporate law experience , preferably at a major law firm.
• Strong background in M&A, private equity, or venture capital transactions .
• Experience with fund formation and investment firm operations is a plus.
• Excellent written and verbal communication skills .
• Admission to the California State Bar required.

Compensation & Benefits:

• Salary Range: $225,000 - $250,000 (based on experience and qualifications).
